1. Acceptance of Terms
By accessing this website or entering into a distribution partnership with SifarKey, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our services.
2. Description of Services
SifarKey provides digital product distribution services, including game key distribution, software license fulfillment, virtual currency delivery, gift card programs, and subscription pass distribution. Services are provided to publishers and developers (“Partners”) under separate written distribution agreements.
3. Partner Eligibility & Onboarding
To become a distribution partner, you must:
- Be a legal entity or individual with authority to enter binding agreements
- Own or hold valid distribution rights for all products submitted
- Complete our partner application and onboarding process honestly and accurately
- Comply with all applicable laws in your jurisdiction and target markets
4. Partner Obligations
As a distribution partner, you agree to:
- Provide accurate product information, pricing, and inventory data
- Ensure all submitted product keys are legitimate, unused, and free from encumbrances
- Notify SifarKey immediately of any product recalls, revocations, or legal disputes
- Not submit counterfeit, fraudulently obtained, or unauthorized keys
- Comply with all publisher and platform holder terms governing your products
5. Fees & Payments
Distribution fees are outlined in your individual partnership agreement. SifarKey operates on a revenue-share model with no upfront setup fees. Payments are processed on agreed cycles, and SifarKey reserves the right to withhold payment in cases of suspected fraud, chargebacks, or breach of agreement pending investigation.
6. Intellectual Property
All intellectual property rights in our platform, dashboard, APIs, and website content belong to SifarKey. Partners retain ownership of their product content but grant SifarKey a limited, non-exclusive license to list, distribute, and promote their products through our network as agreed.
7. Fraud Prevention & Security
SifarKey employs fraud detection systems to monitor key usage. Partners acknowledge that keys found to be fraudulent, duplicated, or unauthorized may be removed from distribution without notice. SifarKey accepts no liability for losses arising from fraudulent keys supplied by a partner.
8. Limitation of Liability
To the maximum extent permitted by law, SifarKey shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from use of our services. Our total aggregate liability to any partner shall not exceed the total fees paid by that partner in the three months preceding the claim.
9. Termination
Either party may terminate a distribution agreement with 30 days’ written notice. SifarKey may terminate immediately in cases of fraud, material breach, or violation of third-party platform terms. Upon termination, all unsold inventory will be returned or deactivated, and outstanding payments will be settled within 30 days.
10. Governing Law
These Terms are governed by applicable international commercial law. Disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration under internationally recognized rules.
11. Modifications
SifarKey reserves the right to update these Terms at any time. Active partners will be notified of material changes with at least 14 days’ notice. Continued use of services after the effective date constitutes acceptance of the updated terms.
